A business restaurant, club or spa owner is hereby referred to as the “Merchant.” By clicking the box entitled "I Have Read and Accept the Terms of Use" as part of the registration process, Members accept all items in the Terms of Use and agree to abide by and be legally bound by the Terms of Use.

By browsing visit to WhereCity Website, you accept and agree to abide by these Terms of Use. If you do not agree to these Terms of Use, you should not use the WhereCity Website.

These Terms of Use are an ongoing contract between you and WhereCity and apply to your use of the WhereCity service and Website. These Terms of Use affect your rights and you should read them carefully.

Changes to terms of Use WhereCity reserves the right, from time to time, with or without notice to you, to change these Terms of Use in our sole and absolute discretion. The most current version of these Terms of Use can be reviewed by clicking on the "Terms of Use" located at the bottom of the pages of the WhereCity Website. The most current version of the Terms of Use will supersede all previous versions. Your use of the WhereCity Website or continued use of our service after changes are made means that you agree to be bound by such changes.

Important Terms of Loyalty Program Points earned by participating in our loyalty program do not translate into cash or credit of any kind. No cash payment will be given if you have points in balance. Points earned are to be redeemed only by way of participating in the loyalty program and its mechanics. Points earned can be tracked from the detailed information presented in your profile. Coupons, vouchers or other promotional material given by merchants to WhereCity users for the “Deal & Discounts” section of WhereCity are given by the merchants. WhereCity will distribute these vouchers, coupons and promotional material to the user based on the system of a loyalty program provided by WhereCity. The provision of coupons, vouchers and promotional material is done so at the discretion of the merchants and does not hold WhereCity responsible for any liabilities or consequences arising from the transfer of those materials from WhereCity to the end user.

Claim Your Business WhereCity provides a basic free listing to all users worldwide. Within the listings is given a provision to “Claim Your Business.” A restaurant, club or spa owner can follow the procedure to claim that business and business listing as his own. WhereCity reserves the right to accept that claim or reject it based on verification that results in a positive or negative claim. WhereCity will accordingly accept or reject the claim in the content management system. Should the claim be genuine, the merchant will be prompted to activate the listing by following the procedure for payment of requisite fees. Refer to “Member Listings: Paid Service” for further information.

Member Listings: Paid Service Restaurant, café, club, pub, lounge and spa owners are given a provision to activate a paid listing on WhereCity whereby WhereCity will for the stipulated (chosen by Merchant) period provide a comprehensive listing and login feature to the owners. The service is automatically activated using the WhereCity website. This service listing remains active for the period chosen by the owner (on payment of requisite fees) and can be renewed or terminated at any time. Upon termination by the owner, requisite fees will be refunded on a pro-rated basis to the owner (Merchant). WhereCity reserves the right to terminate the merchant’s account if it is determined to be fraudulent, inappropriate or violates the terms and conditions set forth by WhereCity.

We may from time to time revise these Terms of Use but we will not necessarily provide you notice of the revisions. It is up to you to review the Terms of Use frequently to determine if there have been any changes made.

Membership and Billing You can find the specific details regarding your subscription with WhereCity at any time after logging in and by accessing your personal profile pages in the WhereCity Website.

Billing for WhereCity Services By using the WhereCity services, you are expressly agreeing that we are permitted to bill you a subscription fee, any applicable tax and any other charges you may incur in connection with your use of the WhereCity services. Additional charges may include if you fail to make a change in the billing plans which you request. As used in these Terms of Use, "billing" shall indicate either a charge or debit, as applicable, against your Payment Method, including a checking account, where applicable. The subscription fee will be billed once for the entire amount based on the “package” chosen. The renewal period is calculated based on the active listing period chosen by you when you activated your paid listing. A notification email will be sent to you for the same informing you that your listing is going to expire on a certain date. All fees and charges for the WhereList (classifieds) are non-refundable. All fees and charges for the paid member listings are refundable on a pro-rated basis. We may change the fees and charges in effect, or add new fees and charges from time to time, but we will give you advance notice of these changes by email. If your Payment Method reaches its expiration date, your continued use of the service constitutes your authorization for us to continue billing that Payment Method and you remain responsible for any uncollected amounts.

Automatic Renewals Your WhereCity subscription will be automatically renewed based on the listing expiration date. We will bill the monthly subscription fee plus any applicable tax to the Payment Method you provide to us during registration (or to a different Payment Method if you change your account information). Your membership will automatically renew for successive monthly or yearly subscriptions, without prior notice to you, unless and until you cancel your membership or we terminate it.

Disclaimers of Warranties and Limitations on Liability The WhereCity service and Website and its contents are provided "as is" and we make no representations or warranties of any kind with respect to the WhereCity Website, its contents or our service. We assume no liability or responsibility for any errors or omissions in the content of the WhereCity Website, any failures, delays, or interruptions, delivery of any content contained on the WhereCity Website, any losses or damages arising from the use of the content provided on the WhereCity Website, or any conduct by users of the WhereCity service or Website. We disclaim all representations and warranties, including, for example, warranties of merchantability, fitness for a particular purpose, and non-infringement. In addition, we do not represent or warrant that the information accessible via our site is accurate, complete or current.
